Terms of Use & Privacy Policy**

These Terms of Use and Privacy Policy (“Terms”) govern your access to and use of the Crestline Furniture Systems mobile application (the “App”) Crestline Referr

The App is operated and distributed by Crestline Furniture Systems Limited, New Zealand (“Crestline”, “we”, “us”, or “our”).

By downloading, installing, accessing, or using the App, you agree to comply with and be bound by these Terms.

  1. Introduction and Acceptance of Terms

These Terms form a legally binding agreement between you and Crestline. If you do not agree with any part of these Terms, you must not access or use the App.

Crestline may make the App available through third-party platforms, including the Apple App Store and Google Play Store, subject to their applicable terms.

  1. Purpose and Function of the App

2.1 App functionality

The App provides a referral and introduction platform that enables approved users to introduce prospective clients (each a “Referred Client”) to Crestline and approved business partners (each a “Referee”) for approved products or services (“Approved Services”).

2.2 Referral rewards  – How it works

Step 1 – Share a Verified Lead
If you are the first person to notify Crestline of a new, legitimate office furniture project, and you provide a verified contact name, email address, and mobile phone number, you will receive an lead reward once the project is validated by Crestline.

Step 2 – Project Completion Reward
If Crestline is successfully appointed to the project and full payment is received, you will earn an additional Reward.

Step 3 – Large Project Bonus
For particularly large or high-value projects, Crestline may, at its discretion, increase (“supercharge”) the Reward.

  1. Definitions and Interpretation

In these Terms, unless the context requires otherwise:

  • App means the Crestline Referr mobile application.
  • Approved Services means office furniture or fitout services or products made available for referral through the App from time to time, as displayed within the App.
  • Payment means remuneration actually received (and not subsequently reversed) in connection with a qualifying referral, as reasonably determined by Crestline, including any adjustments, chargebacks, refunds, or clawbacks.
  • Referred Client means the prospective client introduced through the App.
  • Referrer / User / you means the individual approved to submit referrals using the App.
  • Reward has the meaning given in clause 2.2.
  1. Eligibility, Approval, and Ongoing Requirements

4.1 Approval required

Use of the App as a Referrer is subject to Crestline’s approval. Crestline may approve, decline, suspend, or withdraw approval at any time, acting reasonably and for operational, legal, compliance, fraud-prevention, or risk-management reasons. If approval is declined or withdrawn, you are not eligible to earn Rewards.

4.2 Age and location

You must be located in New Zealand and be at least 16 years old to use the App.

4.3 Eligible referrers

You may only be approved as a Referrer if you fall within an eligible category, including:

  • architects, designers, construction and property professionals, or consultants whose clients may require Approved Services;
  • business owners or professional advisers whose clients may require workplace furniture or fit-out solutions; or
  • another approved person with market intelligence and a legitimate relationship to the Referred Client and a genuine reason for the introduction.

4.4 Excluded persons

You must not apply for or use the App as a Referrer if you are:

  • restricted by employment, contract, or law; or
  • otherwise ineligible due to a conflict of interest or regulatory restriction.

4.5 Verification and ongoing obligation

Crestline may request information to verify your identity, eligibility category, and ongoing compliance. You must promptly notify Crestline if you become ineligible after approval. Crestline may suspend or terminate access and/or Rewards from the date ineligibility arises.

4.6 Legal compliance

You agree to comply with all applicable New Zealand laws and regulations while using the App.

  1. Referral Process and Conditions

5.1 In-App submissions only

All referrals must be submitted through the App using the prescribed workflow and your unique referral identifier. Referrals made outside the App are not eligible for Rewards.

5.2 Consent and appropriate introductions

You must only submit referrals where you have discussed the referral with the Referred Client and obtained their consent to share their information for the purpose of being contacted by Crestline and/or the relevant Referee.

One reward per project applies. Rewards are paid only to the first person who submits the project to Crestline.The project must be new to Crestline at the time of submission.

All rewards are subject to Crestline’s verification and confirmation process.

 

5.3 Prohibited referrals

The following referrals are not eligible:

  • self-referrals; You must not submit projects where you are the decision-maker or have the authority to award the project to Crestline.
  • referrals that are fraudulent, misleading, or abusive;
  • referrals that breach these Terms or applicable law;
  • any other excluded categories notified within the App from time to time.

5.4 Crestline determination

Crestline may determine, acting reasonably, whether a referral is valid, qualifies for a Reward, or is subject to adjustment, including to prevent duplication, misuse, or fraud.

  1. Rewards, Calculations, and Payments

6.1 Reward calculation

Rewards are calculated starting from a base introduction fee for verified contact details of a client involved in a furniture project. Additional rewards will be paid if the lead turns into a project for Crestline or other approved business partners.

6.2 Payment timing

Rewards are paid monthly, generally on the last Thursday of each month, subject to these Terms.

6.3 Compliance and verification

Rewards are subject to completion of any required verification or compliance checks. If verification is incomplete, unsuccessful, or cannot be completed, Rewards may be withheld, delayed, or forfeited where legally required.

6.4 Payment method

Rewards are paid via a payment method nominated or administered by Crestline from time to time. You are responsible for maintaining an active account and completing any required onboarding steps.

6.5 Adjustments and reversals

If the project payment is adjusted, reversed, refunded, or clawed back for any reason, the corresponding Reward may be reduced, reversed, withheld, or set off against future Rewards.

6.6 Administrative rules

Crestline may apply reasonable administrative rules, including rounding, minimum payout thresholds, payment limits, and reporting periods, as displayed in the App or otherwise notified.

6.7 Tax

You are responsible for all tax obligations arising from Rewards.

6.8 No assignment

Rewards are personal and may not be assigned, transferred, or sold.

  1. Acceptable Use and Prohibited Conduct

You must not:

  • breach any applicable law or regulation;
  • mislead Referred Clients or make false claims about Crestline, the App, or any Referee;
  • spam, harass, or engage in abusive behaviour;
  • upload or distribute content that infringes intellectual property or personal rights;
  • attempt to reverse-engineer, probe, or compromise App security;
  • collect, use, or disclose personal information without appropriate consent.

 

  1. Intellectual Property

All content within the App, including branding, logos, software, text, and referral tools, is owned by or licensed to Crestline. You must not copy, modify, distribute, reverse-engineer, or commercially exploit any part of the App without Crestline’s prior written consent.

  1. Third-Party Platforms and App Stores

The App may be distributed through third-party platforms such as the Apple App Store and Google Play Store. You agree to comply with their applicable terms and policies. To the extent permitted by law, Crestline remains responsible for the App and these Terms.

  1. Changes, Suspension, and Termination

10.1 Changes to Terms

Crestline may update these Terms from time to time. Material changes will be notified via the App and/or email where required. Continued use of the App after changes take effect constitutes acceptance.

10.2 Suspension or termination

Crestline may suspend or terminate your access to the App and/or eligibility for Rewards if you breach these Terms, become ineligible, misuse the App, or where required by law.

  1. Liability Limits, Dispute Resolution, and Governing Law

11.1 Limitation of liability

To the maximum extent permitted by law:

  • Crestline is not liable for indirect, consequential, or special loss, loss of profit, or loss of opportunity arising from use of the App;
  • Crestline’s total liability is limited to the lesser of:
    • NZD $500, or
    • the total Rewards paid to you in the preceding six months.

Nothing in these Terms limits rights under the Consumer Guarantees Act 1993 where applicable.

12.2 Dispute resolution

Disputes will first be discussed in good faith. If unresolved, disputes may be referred to mediation or arbitration in New Zealand, as reasonably determined by Crestline.

12.3 Governing law

These Terms are governed by the laws of New Zealand, and the parties submit to the non-exclusive jurisdiction of New Zealand courts.

  1. Privacy Policy

13.1 Privacy commitment

Crestline collects, uses, stores, and discloses personal information in accordance with the Privacy Act 2020 and other applicable laws.

13.2 Information collected

This may include:

  • contact and account details;
  • eligibility and verification information;
  • referral data submitted through the App;
  • Reward and transaction information;
  • device identifiers, usage data, and technical logs.

13.3 Use of information

Personal information is used to:

  • manage accounts and referrals;
  • facilitate introductions;
  • process Rewards and compliance checks;
  • operate, secure, and improve the App;
  • communicate service updates and offers (with opt-out available).

13.4 Sharing of information

Information may be shared with Referees, payment providers, service providers, and regulators where required. Crestline does not sell personal information.

13.5 Storage and overseas disclosure

Information may be stored in New Zealand, Australia, and with trusted overseas providers that maintain comparable privacy safeguards.

13.6 Security

Reasonable safeguards are in place to protect personal information.

13.7 Retention

Personal information is retained only as long as necessary for operational, legal, and compliance purposes.

13.8 Your rights

You may request access to, correction of, or deletion of your personal information and withdraw marketing consent.

13.9 Complaints

Privacy complaints should be raised with Crestline first. If unresolved, you may contact the Office of the New Zealand Privacy Commissioner.

13.10 Updates

This Privacy Policy may be updated periodically. Significant changes will be notified where appropriate.
